Other than the change in control and termination agreements, we have no formal severance program in place for our NEOs. The Committee has adopted a policy eliminating tax gross‐ups from all new change in control and termination agreements that we enter into with our executive officers. This policy was applied to the change in control and termination agreements entered into with Messrs. Hinrichs, Schlemmer and Underwood, which contain no tax gross‐ups.
